Terms of Service

These terms apply to your use of SpyCom at spycom.co.il. SpyCom was previously called Listora; it is the same service under a new name, and these terms replace the Listora terms. The Hebrew edition follows below.

1. The service

SpyCom provides a platform for running online stores: store building and hosting, tax invoices and receipts, Israeli payment providers, integrations with Shopify, Meta Business, Google, WhatsApp and other providers, performance analytics, and AI marketing tools.

2. Your account

• You must give accurate details and keep them up to date.
• You are responsible for keeping your password safe and for activity under your account. Tell us straight away if you suspect someone else has access.
• If you sign in with Google, your Google account is how you prove who you are, and keeping it secure is your responsibility.
• You must be at least 18 years old and able to enter a binding contract, or be acting for a business that authorised you.

3. Plans, free trial and billing

• Plans and prices are listed at spycom.co.il/pricing, in Israeli shekels. Each plan also has a commission on sales made through the store, shown with the plan.
• Free trial: new customers can try a plan free for 14 days. If a payment method was not added by the end of the trial, the subscription ends automatically and nothing is charged.
• Billing: subscriptions are billed in advance, monthly or yearly, through our payment processor Stripe, and renew automatically at the end of each period until cancelled.
• Cancelling: you can cancel at any time from your account. Cancellation takes effect at the end of the period you already paid for, with no cancellation fee.
• Failed payments: if a renewal payment fails, we may limit or pause paid features until the payment succeeds.
• Price changes are announced at least 30 days in advance and apply from your next renewal.
• Nothing in these terms limits any right you have under the Israeli Consumer Protection Law, 5741-1981.

4. Acceptable use

• The platform may not be used for unlawful activity, deceiving consumers, sending unsolicited marketing, or infringing intellectual property.
• The infrastructure may not be disrupted or overloaded.
• Authorization mechanisms may not be bypassed, and no attempt may be made to reach another merchant's account.

5. Third-party integrations

When a merchant connects an external service (for example Meta Business or Shopify), they are also bound by that provider's terms. SpyCom acts as the merchant's agent toward those services, within the access granted.

5a. WhatsApp Business - the Tech Provider relationship

SpyCom acts as a Tech Provider on Meta's WhatsApp Business Platform. The merchant is the owner of the WhatsApp Business Account (WABA) and bears full responsibility for complying with Meta's WhatsApp Business Messaging Policy and WhatsApp Business Solution Terms. SpyCom supplies the interface and the technology only. The merchant confirms that they have obtained opt-in consent from their customers to receive WhatsApp messages, and that they act honestly and lawfully. SpyCom does not send messages of its own to a merchant's customers, and does not use WhatsApp data for its own commercial purposes.

6. Your content and our property

Content the merchant uploads (products, images, texts, customer data) remains entirely theirs, and they give us only the permission needed to host and display it. SpyCom's code, design and brand belong to SpyCom.

7. Availability and limitation of liability

We work to keep SpyCom available and secure, but the service is provided "as is". To the extent the law allows, SpyCom is not liable for indirect damages, loss of profit, or disruptions originating in third-party services (Meta, Shopify, Google, Stripe, payment providers and so on).

8. Suspension and termination

You may stop using SpyCom and close your account at any time. SpyCom may suspend or terminate an account that breaches these terms after reasonable notice, unless the breach is severe and requires immediate action.

9. Changes to these terms

Material changes are announced by email and inside the product at least 30 days before they take effect. Continuing to use SpyCom after that date means you accept the updated terms.

10. Governing law

The laws of the State of Israel apply. Exclusive jurisdiction lies with the competent courts of Tel Aviv-Yafo.
